PODCAST INTERVIEW RELEASE AGREEMENT FOR ECOMMERCE COFFEE BREAK PODCAST

Consent and Grant of Rights

By booking an interview appointment and submitting this form, I do hereby consent to and grant all rights related to the recording and distribution of reproduction(s) of my voice, video, photograph, likeness, and performance as part of my participation as a guest on the podcast program.

I agree to this interview and understand that the podcast producer has the right to reproduce and distribute this interview (in whole or in part) to the public using any current or future technology.

I hereby grant to the podcast producer, their employees, subsidiaries, affiliates, agents, successors, and assigns the right and permission to record, use, publish, stream live, offer for sale, or otherwise distribute any audio or video interview with me. Such right and permission includes, but is not limited to, my name, recorded voice or video, photograph or likeness, biographical information, handouts or any material based upon or derived therefrom.

Ownership and Usage Rights

The podcast producer is the sole owner of all rights in and to the Program, and the recording(s) thereof, together with any materials prepared for the Program ("Materials") are "Work(s)-Made-For-Hire" within the meaning of the United States Copyright Act (17 USC §101, et. seq) for all purposes.

The producer has the unfettered right to use, promote and distribute the Program one or more times in any and all media or formats and modes of transmission whatsoever, throughout the world, in perpetuity.

I understand that the podcast producer may, at its sole discretion, produce presentations or publications based in whole or in part upon the audio interview (or any portions thereof) and/or video or audio recordings or photographs of said interview, and that such media or transcripts may appear in print, online, or in any manner or media, including but not limited to promoting the podcast or streaming audio program.

Compensation and Approval

I understand and agree that I will receive no compensation for appearances on and participation in the podcast.

I understand that the interview will be edited and the podcast producer does not send edits for approval. I hereby waive the opportunity or right to inspect or approve the content of the Program.

I understand not all free (non-paid) interviews for the podcast are published.

Use in Promotion

My name and likeness may be used in advertising and promotional material for the program, but not as an endorsement of any other product or service.

Representations and Warranties

I hereby warrant and represent that I have the right to enter into this agreement and to grant the rights granted to the podcast producer herein.

I agree that during the course of the interview I have not violated the rights of any third parties, including but not limited to copyrights, rights of privacy, trade secrets, and non-disclosure agreements. In the event of any breach of any of these warranties, I will defend and hold the podcast producer harmless and without indemnity against any such claims.

Release and Discharge

I have no right of approval, no claim for compensation, and no claim (including, without limitation, claims based upon invasion of privacy, defamation, or right of publicity) arising out of or in connection with, any use, alteration, or use in any composite form hereunder.

I hereby release and discharge the podcast producer, together with all of the producer's principals, shareholders, officers, employees, agents, successors, heirs, assigns and affiliates from any and all liability arising out of or in connection with the making, producing, reproducing, processing, exhibiting, distributing, publishing, transmitting by any means or otherwise using the Program and Materials.

Understanding and Agreement

Nothing contained in this Podcast Interview Release Agreement shall be construed to obligate the podcast producer to use or exploit any of the rights granted or acquired herein, or to make, sell, license, distribute or otherwise exploit the Program or Materials whatsoever.

I am eighteen years of age or older, I am fully competent to execute this agreement, and no other agreements currently exist which would prevent my transferring these rights to the podcast producer or their successors and assigns.

I acknowledge that the podcast producer intends to rely on this release and the grant of rights herein contained, and shall incur significant costs in production of the Program in reliance upon same. As a result, I agree not to institute any legal action to contest the rights conveyed herein.

Electronic Signature

By submitting the application and interview booking form, I acknowledge that I have read and understand the contents of this release and am executing same of my own free will.
